In a formal announcement to the Ghana Stock Exchange on April 2, 2026, the company confirmed the merger of its two subsidiaries, MobileMoney LTD and MobileMoney Fintech LTD. This reorganization, led by CEO Stephen Blewett, allows Scancom PLC to focus exclusively on its core telecommunications services while the newly formed MobileMoney Fintech LTD manages the rapidly expanding financial services portfolio. The transition was designed to scale fintech operations independently while adhering to the regulatory frameworks established by the Bank of Ghana.
Meeting Localization Mandates Under Ghanaian Law
The restructuring serves a critical dual purpose by ensuring compliance with the Payment Systems and Services Act of 2019. Under Act 987, mobile money providers are subject to specific localization and ownership requirements intended to ground financial services within the national economy. To satisfy these mandates, the ownership of the new fintech entity has been divided between MTN Dutch Holdings B.V., a subsidiary of the broader MTN Group, and The MTN Ghana Fintech Trust. This trust was established specifically to represent the interests of non-MTN Group shareholders of Scancom PLC, ensuring that the local investment community maintains a direct stake in the lucrative mobile money sector.
Explosive Revenue Growth in Advance Fintech Services
The separation arrives as the mobile money division reports record-breaking financial performance. For the fiscal year ending December 31, 2025, MTN reported that mobile money revenue climbed to GH¢6.0 billion, a 35.7 percent increase over the previous year. This growth was fueled by a 12.3 percent rise in active users, now totaling 19.3 million. Notably, "advance services"—which encompass digital payments and lending solutions—surged by 55.9 percent to reach GH¢2.0 billion. This indicates a significant shift in consumer behavior, as users move beyond simple transfers toward more complex financial products and digital lending.
